Thanks to its network of experienced executives and interim managers, WAYDEN has developed, since its creation, expertise in various sectors of activity, including the banking and insurance sector. A look back at an interim management mission for a major player in the insurance sector in the context of the acquisition of a subsidiary.
Example of an interim management mission: the acquisition of a subsidiary for the insurance sector
WAYDEN was contacted by a French insurance group that had acquired a German company specialising in the management of IT services in the insurance sector.
The objective of the mission was to prepare and manage, in close collaboration with the headquarters in Paris, the integration of this structure of more than 1,500 employees within the acquiring group. The Group’s ambition was to organize this subsidiary in such a way as to create a shared services center for all of its European activities.
Dysfunctions, on the managerial level, had been detected on the site by the French management, which had then decided to separate from the general management of the entity.
It is in this context that WAYDEN was asked to ensure the urgent takeover of this subsidiary, to implement reporting and to support the teams in a tense social context.
Our EMT has thus appointed, in record time, an interim Managing Director, specialist in the structuring of service companies and with a 25-year career in France and abroad. The latter ensured, for 8 months, the continuity of the management of the site’s activity, according to demanding specifications. This interim manager commissioned by WAYDEN finally managed to successfully carry out this integration and to ensure the handover to the replacement, in the best possible conditions.
Why call on interim management when acquiring or selling a subsidiary?
The acquisition or sale of a subsidiary is a delicate operation, which presents large-scale financial, human, managerial and organizational challenges, especially in an environment as regulated as the insurance sector.
Calling on an interim general manager is then a solution of choice to secure the management of this operation, ensure the involvement of the teams and facilitate this transition.
During the example of a mission mentioned above, the interim manager commissioned by WAYDEN has implemented several effective actions to manage this operation, such as :
- The implementation of new management tools to carry out a massive recovery plan;
- The management of relations with German authorities (chartered accountants, banks, lawyers, auditors, etc.);
- Monitoring and optimization of cash flow;
- Project monitoring and analysis;
- The re-establishment of confidence in the French site;
- The recruitment and success of a new management team;
- …
